Overview
These Terms of Service (“Terms”) set forth the conditions under which we provide you, or the legal entity you represent, (“you” or “your”) with access to our Services. “Services” refer to our products, applications, software, information services, internet-based services, websites, and other related services provided by us.
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, and these Terms become legally binding between you and us with respect to your access to and use of the Services.
Changes to This Terms
We may update or amend these Terms from time to time at our discretion. We may also modify, update, or upgrade features of the Services or the Device.
Where changes to these Terms are material, we will provide reasonable notice through the Services, the Device, or other appropriate means. The amended Terms will take effect as of the effective date indicated in the updated Terms.
By continuing to use the Services after the updated Terms take effect, you agree to the amended Terms. If you do not agree to the amended Terms, you may discontinue use of the Services. Please note that continued access to certain features, updates, upgrades, or enhancements may require acceptance of the updated Terms.
Essential Services
Our Services enable you to share photos and videos between your mobile devices and your Whale Framely device. Communications between mobile devices and the device are protected using encrypted transmission protocols designed to safeguard your content during transmission.
The Whale Framely membership service is a paid subscription service, which you may access by paying the applicable service fees as described within the Services or the Whale Framely app.
Optional Services
You can find detailed descriptions of our Services on our website or within the Whale Framely app. Certain features are available free of charge, while others may require a subscription.
We offer two categories of user accounts, each providing different levels of access:
Guest Account:
This option allows you to access limited features of the Services without creating a registered user account, providing basic access to Whale Framely OS. Certain functionalities may be restricted or unavailable under a Guest Account.
Paid Account:
This is a subscription-based account linked to your Apple ID or Google ID. By subscribing, you may access additional or full features of the Whale Framely OS Services, subject to the terms of the applicable subscription plan.
Payment and Cancellations
We use Apple Pay or Google Pay as third-party payment service providers to process subscription payments. By signing up for a Whale Framely account through Apple Pay or Google Pay, you agree that your purchase and payment are subject to the applicable terms and conditions of Apple Media Services or Google Pay / Google Payments, as applicable.
Your subscription may automatically renew at the end of the applicable billing cycle, unless cancelled in accordance with the terms of the relevant payment provider. Where auto-renewal applies, the applicable subscription fee will be charged by the selected payment provider at the then-current rate.
All billing, renewal, cancellation, refund processing, and payment management are handled by the applicable third-party payment provider, and we do not process or store your payment card details. You are responsible for managing your subscription, including cancellation, through the account settings of the applicable payment provider.
Auto-Renewal
The auto-renewal feature is available to users who have purchased a Whale Framely membership subscription and is intended to help avoid service interruption.
If you choose to enable auto-renewal, you authorize the applicable payment provider (such as Apple Pay or Google Pay) to charge the applicable subscription fee for the next billing cycle within 24 hours prior to the expiration of the current subscription period, in accordance with the payment provider’s rules and procedures.
Billing Cycle
You may choose a billing cycle (e.g., monthly, annual, etc.), subject to the subscription options made available through the Services or the applicable app store.
Automatic Deduction Rules
If auto-renewal is enabled, subscription fees for each subsequent billing cycle will be charged by the applicable payment provider using the payment method associated with your Apple ID or Google account, unless you cancel the subscription before the renewal date.
Auto-renewal will continue until you cancel your subscription through the applicable payment provider’s account management settings. Whale Framely does not have access to your payment credentials and does not control the billing or charging process.
If a renewal charge is unsuccessful, access to subscription features may be suspended or limited until payment is successfully processed, in accordance with the payment provider’s policies.
For Apple Pay
Open the App Store on your Apple device → Tap your Apple ID avatar in the upper right corner → Go to Account → Select Subscriptions → Find Whale Framely → Tap Cancel Subscription.
For Google Pay
Open the Google Play Store app on your Android device → Tap your profile picture in the upper right corner → Select Payments & Subscriptions → Go to Subscriptions → Locate and tap the Whale Framely subscription → Tap Manage → Select Cancel Subscription.
Important Note
Please turn off the auto-renewal function via your iTunes/Apple ID settings at least 24 hours before the subscription expires to avoid being charged for the next billing cycle.
Termination
ou may cancel your subscription at any time, effective at the end of the then-current billing period, in which case your Paid Account will be downgraded to a Guest Account, subject to the applicable cancellation terms and procedures of Apple Pay or Google Pay, as applicable.
If you materially breach these Terms of Service—including, without limitation, failure to pay applicable fees, misuse of the Services, or engagement in unauthorized or illegal activities—we reserve the right to suspend or terminate your access to the Services, where reasonably necessary, and, where appropriate, after providing notice, unless immediate termination is required to protect the Services, other users, or to comply with applicable law.
Termination of the Services by us will not entitle you to a refund, except where such termination results from our material breach of these Terms that remains uncured within thirty (30) days after receipt of your written notice, or where a refund is required by applicable law.
Privacy and Information
We are committed to protecting user privacy and providing a safe and secure environment for our users. Our collection and use of personal information in connection with the Services are governed by our Privacy Policy, which forms an integral part of these Terms.
By accessing or using the Services, you acknowledge that you have read and understood how your information is collected, used, transmitted, and disclosed as described in the Privacy Policy, as updated from time to time.
To the extent permitted by applicable law, we are not responsible for the independent data processing practices of third parties whose services may be linked to or integrated with the Services. Such third parties process personal data in accordance with their own privacy policies and terms, and we encourage you to review those policies carefully.
